Each of the 27 member states has its own corporate laws, tax systems, and administrative procedures. This situation forces rapidly growing companies to incur enormous costs to adapt to local regulations or to relocate outside of Europe. Most often, this is done through the so-called “Delaware flip”—registering a company in the U.S., which makes it easier to raise global capital. The lack of a uniform legal standard within the EU makes scaling a cross-border business an insurmountable barrier for many entities. As a result, it is difficult for European startups to compete with similar companies in the U.S. or Asia.

The Voices of 22,000 Entrepreneurs Heard in Davos

A grassroots movement among innovators served as the catalyst for change. The EU Inc. initiative is the result of collaboration between the European Commission and a broad coalition that has gathered more than 22,000 signatories. Among them are the leaders of Europe’s most promising startups.

The breakthrough came during the World Economic Forum in Davos in 2026, where European Commission President Ursula von der Leyen officially confirmed that the Commission would begin work on implementing the EU-Inc mechanism. This project is a key element of the Digital Single Market strategy. Its objectives include, among others:

strengthening the competitiveness of European startups in competition with giants from the U.S. and Asia,

overcoming the legal and administrative fragmentation of the internal market,

increasing the EU’s attractiveness as a destination for venture capital investment.

EU Inc. – What Is the “28th Regime”?

The EU-Inc. concept, referred to as the “28th regime,” will not replace national legal forms, such as the Polish spółka z o.o. or the German GmbH. On the contrary, it is intended to be a voluntary, pan-European company that serves as an alternative to national legal frameworks. It will operate in parallel with national systems. The foundation of EU Inc. is to be a uniform legal statute applicable in all 27 member states.

The joint solutions will also include:

a central registry and digital company registration—a structured, easily accessible online company registration system,

standardized ESOPs (employee stock option plans) and investment documents—uniform terms and conditions for stock options applicable to both investors and employees, which could result in attracting more venture capital firms and institutional investors to European projects,

easier access to cross-border investments – minimizing legal and operational costs when entering new EU markets.

EU Inc. – Legal Risks and Challenges in Building a Competitive European Company

The introduction of EU Inc., while viewed as a landmark step toward the creation of a single market, presents a number of significant legal challenges that could affect the pace and effectiveness of this reform.

1. Lack of full tax coordination

Sources indicate that while EU Inc. focuses primarily on corporate law, differences in national tax systems can still pose a serious challenge for startups. Simply standardizing a company’s legal form does not automatically resolve the problems arising from 27 distinct tax regimes.

2. Administrative Implementation Challenges

Implementing the “28th regime” requires extensive adjustments to national registries, courts, and digital procedures. Each member state must integrate the central EU registration system with its local administrative structures. This is a technically and legally complex process.

3. The Need for Unanimous Political Support

The proposal requires the support of all EU member state governments. In practice, this means intensive political negotiations, and a lack of agreement on any of the key aspects could significantly delay the entry into force of the regulations or lead to a watering down of the proposal’s original objectives.

4. The Complexity of Compliance Processes

Despite efforts to simplify structures, businesses will need to monitor legislative developments on an ongoing basis and carefully analyze the impact of new regulations on areas such as employment and capital management. There is a risk that, during the transition period, the coexistence of national and EU systems may create additional analytical burdens for companies.

5. Variations in accompanying regulations

A challenge remains in harmonizing areas that are not directly covered by the new statute but that affect the operations of startups. These include, among other things, local labor laws and specific market regulations, which may still vary from country to country.

For this reason, it will be important for companies not only to adopt the new legal form, but also to plan their corporate strategy early on. They will also need to maintain an ongoing dialogue with legal advisors in order to adapt smoothly to the rapidly changing regulatory environment.

EU Inc. — Key Benefits for Startups with Global Ambitions

However, there is no denying that the introduction of EU Inc. will bring tangible operational and financial benefits to startups in the long run. Above all, startups will be able to scale under a single, consistent legal framework. This will drastically reduce the costs of compliance and eliminate the need to create complex holding structures when entering new markets. A uniform set of investment documents and harmonized rules regarding stock options will become a powerful magnet for venture capital funds and talent from across the European Union. They will significantly facilitate the cross-border flow of capital and talent.

When will the EU Inc. solution—that is, the pan-European company—take effect?

Currently, the EU Inc. project is in the stage of policy statements and conceptual work within the European Commission. Although the Commission has set the direction for change, this legislative initiative faces significant challenges. Among the most important are the need to coordinate Member States’ tax systems and to adapt national registries and courts to the new model. It is estimated that this process could take up to several years, as it requires unanimity or broad support from member states in the Council of the EU. The project’s success depends on the pace of negotiations and political determination to combat administrative fragmentation of the internal market.

How can your company start preparing now for the EU Inc. alternative?

Although the legislative process is still underway, entrepreneurs with international ambitions should begin preparing today for the upcoming changes. Experts, including our law firm LO:ME, recommend actively monitoring the European Commission’s progress and analyzing the impact of future regulations on a company’s growth strategy—particularly in the context of planned investment rounds and expansion into EU markets.
